Please read the privacy statement and agree to the terms:

1.	This agreement will start on date of order submission and end 12 months after date of ad publication. CitiDexLI, Inc will at its own discretion renew this agreement for a further 12 months unless client submits a cancellation notification.

1.1.	Cancellation notification must be submitted as a signed letter delivered by registered mail or fax, and followed by a phone call.

1.2.	Any request to cancel this agreement before the 12-month period will require payment for the time remaining in the agreement. 

2.	Client agrees to completely indemnify CitiDexLI, Inc and its employees from any and all claims related to this or other related agreements

3.	It will be client’s responsibility to make payments regardless of receipt of invoice or bill.

4.	All ad content must meet CitiDexLI, Inc’s editorial standards

5.	Client further agrees that any lsitings or advertisments may be removed or taken down as a result of non-payment

6.	If any provision of this Contract is held unenforceable, then such provision will be modified to reflect the parties' intention. All remaining provisions of this Contract shall remain in full force and effect.

7.1.	All terms and agreements in this Contract are interpreted by the trial Courts of New York State and Suffolk County.

7.2.	Any and all claims made against Seller will be resolved by the trial Courts of New York State and Suffolk County

8.	This Contract contains the entire agreement of the parties with respect to the subject matter of this Contract, and supersede all prior negotiations, agreements and understandings with respect thereto. This Contract may only be amended by a written document duly executed by all parties.

9.	This Contract is enforceable anywhere in the world

10.	Buyer agrees to completely, without exception, indemnify Seller, its employees, officers, shareholders, and agents from all claims, demands, costs or judgments against them arising from the services to be carried out pursuant to the obligations of this Contract or the order-agreement.

11.1.	Seller makes no representation, warranty, or guarantee of the effectiveness of a service or our search engine ranking. 

11.2.	Seller may, at is sole discretion, remove any advertisements or designs that it believes to be a trademark, trade name, company name, product name or brand name belonging to or claimed by a third party.

11.3.	Seller will not be responsible for, including but not limited to, loss of sales, loss of web page search rank, lost of brand value, or any other loss, business or personal, if service is interrupted due to lack of payment.
